This Service Agreement ("Agreement") is a legally binding contract between the Customer and Diadyn Technology LLC ("Diadyn", "we", "our", or "us"), governing access to and use of Diadyn's cloud business applications, server infrastructure, hosting services, branding services, AI-powered features, and all associated platforms (collectively, the "Services"). By registering an account, clicking 'I Agree', or otherwise accessing the Services, Customer acknowledges that it has read, understood, and agrees to be bound by this Agreement in its entirety. If Customer does not agree, it must not access or use the Services.

1. Definitions

"Agreement" — This Service Agreement (Version 3.3) together with all Schedules, addenda, and incorporated documents.

"Customer Data" — All data, content, configurations, source code, and materials uploaded, submitted, processed, or stored by Customer through the Services.

"Services" — All cloud business applications (360-Series Apps), server infrastructure, hosting, branding, AI Features, and ancillary services provided by Diadyn.

"AI Features" — Artificial intelligence and machine learning capabilities integrated into Diadyn's Services, powered by Anthropic's Claude — Diadyn's exclusive primary AI partner — enabling intelligent automation, analytics, natural-language querying, and content generation across the 360 Business Application Suite.

"Anthropic / Claude" — Anthropic, PBC, a global leader in AI safety research and Diadyn's exclusive primary AI partner, whose Claude large language models power all AI Features embedded within Diadyn's Services.

"Oracle Cloud Infrastructure (OCI)" — Oracle Corporation's enterprise-grade hyperscale cloud platform — one of the world's four recognised hyperscale cloud providers alongside AWS, Azure, and GCP — which serves as Diadyn's primary production server and cloud infrastructure for hosting, computing, and delivering the 360 Business Application Suite and all associated production workloads.

"Hosting Partners" — Specialist cloud and hosting providers — including but not limited to Vultr, Kamatera, and Worldstream — engaged by Diadyn to deliver customer-facing hosting subscription services, VPS, managed hosting, and related products.

"Sub-Processors" — Third-party vendors processing Customer Data on Diadyn's behalf, including Oracle Cloud Infrastructure, Anthropic, and Hosting Partners, each bound by data processing obligations consistent with this Agreement.

"Diadyn Connect" — Diadyn's digital business card, professional profile, and company networking platform, accessible at connect.diadyn.ai and its sub-paths including /card, /profile, and /company.

"Connect Profile" — A digital business card, personal profile page, or company page created by a Customer or Authorised User within Diadyn Connect, which may be made publicly accessible via a shareable link or QR code.

"Connect Visitor" — Any individual who views, scans, or otherwise accesses a Connect Profile without themselves holding a Diadyn account.

"Authorised User / Employee" — An individual employee, contractor, or agent of Customer permitted to access the Services under Customer's account.

"Subscription Term" — The period for which Customer has subscribed and paid for access to a particular Service tier.

"Documentation" — Technical manuals, help articles, and specifications published at https://diadyn.ai.

"Bug Fix Access" — Temporary, controlled, audit-logged access by authorised Diadyn technical personnel to Customer Data, limited to diagnosing and resolving confirmed software defects.

"AI Consent Acknowledgement" — The mandatory in-platform acceptance step completed by Customer before activating AI Features, confirming fully informed consent to Section 9 of this Agreement.

"Diadyn Proprietary Technical Information" — Confidential technical, operational, and commercial information concerning Diadyn's technology stack, vendor contracts, AI integration, and infrastructure architecture, protected as trade secrets under Section 13.

2. Scope of Services

2.1 Service Provision

Diadyn agrees to provide the Services selected and paid for by Customer during the Subscription Term in accordance with the applicable service description, Documentation, and agreed service levels. Diadyn reserves the right to modify, update, or enhance Services with reasonable advance notice.

2.2 Application Suite (360-Series)

Diadyn offers the following cloud business applications. Additional applications released by Diadyn in future are automatically incorporated into this Agreement upon their availability: CRM360, HR360, Payroll360, Billing360, Finance360, Project360, POS360, Asset360, Rental360, Repair360, Currency360, Task360, Helpdesk360, and any additional business applications released by Diadyn Technology LLC from time to time.

2.3 Infrastructure and Hosting Services

Diadyn's production systems and enterprise workloads are hosted exclusively on Oracle Cloud Infrastructure (OCI). Customer-facing hosting subscription services are delivered through Diadyn's Hosting Partner network (Vultr, Kamatera, Worldstream, and others). Full details are in Section 11A.

2.4 Hosting, Branding, and Digital Services

Diadyn provides domain registration, webmail, website development (WordPress, WooCommerce), SEO optimisation, omni-channel lead generation, and Microsoft 365 integration. Branding services are governed by Section 10.

2.5 AI-Powered Services

Diadyn integrates Anthropic's Claude AI models across all 360 Business Applications, governed in full by Section 9. The AI Consent Acknowledgement must be completed before activating any AI Feature.

2.6 Third-Party Integrations

The Services may integrate with third-party applications including payment processors, analytics providers, and communication tools. Customer is responsible for reviewing applicable third-party terms before enabling integrations.

2.7 Diadyn Connect — Digital Business Card and Professional Networking

Diadyn provides Diadyn Connect, a digital business card and professional networking platform accessible at connect.diadyn.ai, including personal digital business cards, professional profiles, company pages, and contact exchange functionality. Diadyn Connect is governed by this Agreement in full, and additionally by Section 3.5, Section 6.7, and Section 19.

3. Account Registration and Responsibilities

3.1 Account Creation

Customer must create an account by providing accurate, current, and complete information, and is responsible for all activities conducted under its account including those of Authorised Users/Employees.

3.2 Authorised Users / Employees

Customer may designate Authorised Users/Employees within its subscription tier limit. Customer remains fully liable for all their acts and omissions. Customer must promptly notify Diadyn at legal@diadyntechnology.com if credentials are compromised.

3.3 Minimum Age

Customer must be at least eighteen (18) years of age or the age of majority in the applicable jurisdiction. Use of the Services by minors is prohibited.

3.4 Business Use Representation

By entering into this Agreement, Customer represents it is using the Services for lawful commercial purposes only.

3.5 Diadyn Connect — Account and Public Profile Terms

Where Customer or an Authorised User/Employee creates a Connect Profile: information published must be accurate and not misleading; no impersonation of another individual or entity; Customer is responsible for configuring visibility settings; Customer represents authority to publish company information; Customer must promptly deactivate profiles of departing employees; Customer acknowledges Diadyn Connect may collect limited interaction data from Connect Visitors as described in Section 19.

4. Customer Data Ownership and Rights

4.1 Customer Retains Full Ownership

Diadyn acknowledges that Customer retains one hundred percent (100%) ownership of all Customer Data at all times. Diadyn makes no claim to any ownership rights in Customer Data beyond the limited licence in clause 4.2.

4.2 Limited Licence Grant

Customer grants Diadyn a limited, non-exclusive, royalty-free licence to access, process, store, and use Customer Data solely for: (a) providing the Services; (b) maintenance, security monitoring, and technical support; (c) Bug Fix Access per clause 4.5; (d) legal compliance; and (e) generating aggregated, anonymised operational statistics where no individual Customer Data is identifiable.

4.3 Absolute Prohibition on Commercial Use of Customer Data

Diadyn expressly and irrevocably prohibits use of Customer Data for AI model training, machine learning development, product development, advertising, commercial profiling, resale, or any purpose beyond direct service delivery — without Customer's explicit prior written consent signed by authorised officers of both parties. All Sub-Processors including Oracle Cloud Infrastructure and Anthropic are contractually bound by equivalent restrictions. Anthropic has confirmed via its published API terms that Customer inputs transmitted through Diadyn's integration are not used to train Anthropic's foundational models.

4.4 Data Return and Deletion

Upon expiry or termination, Customer may export Customer Data from within the application export areas (available as Microsoft Excel files) or download a manual backup while the company licence is active. Manual backups cannot be restored after company account deletion. Diadyn applications will automatically and securely delete all Customer Data within ninety (90) days of the export period expiry, unless legally required to retain it. A written certificate of deletion is available upon request.

4.5 Authorised Bug Fix Access to Customer Data

BUG FIX DATA ACCESS POLICY — Customer Notice. In limited circumstances, authorised Diadyn technical personnel may require controlled access to Customer Data to diagnose and resolve confirmed software defects. All such access is strictly governed by this clause.

4.5.1 Conditions for Access. Access is permitted only when: (a) a confirmed defect has been reported or detected; (b) the defect cannot be resolved without actual Customer Data; (c) Customer has been notified in advance or contemporaneously; (d) access is limited to data necessary for the specific defect; and (e) access is granted only to Diadyn engineers bound by confidentiality obligations.

4.5.2 Safeguards. Diadyn shall log all access in an immutable audit trail, use read-only access where possible, ensure no Customer Data is copied or retained beyond the technical session, prohibit use of accessed data beyond resolving the defect, and revoke access immediately upon resolution.

4.5.3 Customer Rights. Customer may at any time request a complete access audit log, withdraw consent, or request Diadyn first demonstrate the defect in a sandboxed test environment.

4.5.4 No Retention. Data accessed during Bug Fix Access is Customer Confidential Information. Personnel may not retain, copy, or use any Customer Data beyond the immediate defect resolution.

5. Intellectual Property

5.1 Diadyn Intellectual Property

All rights, title, and interest in and to the Services, platform, software, algorithms, AI integrations, user interfaces, Documentation, trademarks, proprietary methodologies, technology architecture, and vendor relationships are and remain the exclusive property of Diadyn Technology LLC.

5.2 Customer Intellectual Property

Customer retains full ownership of all intellectual property rights in Customer Data and materials Customer uploads or creates using the Services.

5.3 Feedback

If Customer provides feedback or suggestions, Customer grants Diadyn a perpetual, irrevocable, royalty-free licence to incorporate such feedback into its products without obligation to Customer.

6. Acceptable Use Policy

6.1 Permitted Use

Customer may use the Services only for lawful business purposes in accordance with this Agreement and applicable laws.

6.2 Prohibited Activities

Customer must not, and must not permit Authorised Users/Employees to: upload unlawful or harmful content; attempt unauthorised access; conduct DDoS or brute-force attacks; reverse-engineer any component of the Services; generate deepfakes or disinformation; conduct prompt injection attacks; use automated scraping without permission; violate export control laws; circumvent security measures; send unsolicited bulk commercial communications; or sub-license, resell, or transfer the Services without prior written consent.

6.3 Email and Communication Policies

Customer must comply with applicable anti-spam laws (CAN-SPAM, CASL, GDPR, UAE TDRA guidelines). Diadyn monitors for abuse indicators and may temporarily block automated email sending if thresholds are triggered.

6.4 SMS and Push Notification Consent

Customer confirms it has obtained all necessary consents for SMS and push notifications sent through the Services.

6.5 DMCA Compliance

Diadyn complies with the Digital Millennium Copyright Act and equivalent legislation. Takedown notices should be submitted to legal@diadyntechnology.com.

6.6 Monitoring and Enforcement

Diadyn may monitor usage for abuse and may immediately suspend or terminate access upon detection of prohibited activity.

6.7 Diadyn Connect — Public Profile Acceptable Use

Customer must not use Diadyn Connect to impersonate another individual or entity, publish false credentials, list individuals without consent, harvest visitor contact information at scale, or publish third-party personal information without consent. Diadyn reserves the right to remove any violating Connect Profile per Section 19.

7. Payment Terms

7.1 Subscription Fees

Customer agrees to pay all subscription fees per the applicable pricing schedule, in advance, exclusive of taxes.

7.2 Taxes

Customer is responsible for all applicable taxes, duties, and levies, including UAE VAT where applicable.

7.3 Failed Payments and Suspension

If fees remain unpaid for fourteen (14) days after the due date, access may be automatically suspended without further notice. Customers must settle outstanding fees within ninety (90) days of suspension, after which the account and all associated Customer Data will be permanently deleted with no possibility of restoration.

7.4 Fee Changes

Diadyn will provide thirty (30) days written notice of fee increases. Customer may terminate before the effective date without penalty.

7.5 Refund Policy

Diadyn offers a seven (7) day money-back guarantee from initial service activation. Approved refunds are processed within thirty (30) business days, after deducting payment gateway, administrative, and bank processing charges.

7.6 Usage Limits and Fair Use

Each plan includes defined limits covering API calls, data storage, active users, and transactions. Exceeding limits may result in overage charges or a plan upgrade request.

8. Service Availability and Maintenance

8.1 Uptime Commitment

Diadyn commits to the uptime levels set out in the Server SLA Agreement, underpinned by Oracle Cloud Infrastructure's enterprise-grade multi-region redundancy.

8.2 Planned Maintenance

Diadyn will schedule maintenance during off-peak hours with at least forty-eight (48) hours advance notice where practicable.

8.3 Force Majeure

Diadyn shall not be liable for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, government acts, war, cyberattacks, internet disruptions, or service interruptions by Sub-Processors.

9. AI and Automation Provisions

DIADYN — POWERED BY CLAUDE (ANTHROPIC)
Diadyn Technology LLC partners exclusively with Anthropic, PBC to power its AI Features through Anthropic's Claude AI models across the entire Diadyn 360 Business Application Suite. Anthropic's Claude is globally recognised for its rigorous data privacy standards and its published commitment that API customer data is never used for model training.

9.1 Mandatory AI Consent Acknowledgement

Before any AI Feature is activated, Customer must complete the AI Consent Acknowledgement, confirming: understanding of Section 9; responsibility for verifying AI outputs; acceptance that outputs may contain errors; acceptance of Diadyn's limited liability; acknowledgement that AI Features are subject to Anthropic's Acceptable Use Policy; and confirmation that Diadyn does not sell or train on Customer Data. Consent is recorded with timestamp, identity, and IP address as conclusive evidence.

9.2 AI Partner — Anthropic, PBC and Claude

Diadyn has entered a strategic technology partnership with Anthropic, PBC, whose Claude models serve as the exclusive primary AI intelligence layer across all Diadyn 360 Business Applications, selected for its leadership in AI safety and industry-leading data privacy standards. Commercial and integration details constitute Diadyn Proprietary Technical Information under Section 13. Customers may review Anthropic's policies at anthropic.com/legal/aup and anthropic.com/legal/privacy.

9.3 AI Features — Scope Across the 360 Suite

Claude-powered AI Features are integrated across the suite as decision-support tools: natural-language querying and auto-completion (all apps); lead scoring and sentiment analysis (CRM360); candidate screening and onboarding (HR360); payroll anomaly detection (Payroll360); invoice matching and trend analysis (Finance360); invoice generation and overdue risk (Billing360); risk detection and resource optimisation (Project360); task prioritisation (Task360); ticket classification (Helpdesk360); predictive maintenance (Asset/Rental/Repair360); transaction anomaly detection (POS360/Currency360); content generation (SEO/Branding); and automated threat detection (security, all apps).

EU AI Act — High-Risk Deployer Notice. AI Features in HR360, Finance360, and Payroll360 may qualify as high-risk AI systems under EU AI Act Annex III, enforceable from August 2, 2026. EU/UK Customers must ensure meaningful human review before any consequential decision.

9.4 Absolute Prohibition — No Sale or Training Use of Customer Data

Diadyn does not sell Customer Data, does not use it for AI training, and does not use it for profiling or advertising. Anthropic has confirmed that data submitted through its commercial API is not used to train its foundational models. Only fully anonymised operational metrics may be used internally.

DIADYN'S FIVE DATA PROMISES — Your data is yours, 100% ownership retained by you. Never sold. Never used to train AI models. Never used for advertising or profiling. Processed only to deliver the Services you've subscribed to.

9.5 Data Handling in AI Features — Technical Safeguards

Data minimisation is enforced at the application layer; data transmitted to the Claude processing layer is used solely for the requested output; all transmission is TLS 1.3 encrypted (minimum TLS 1.2); no persistent AI storage of Customer Data beyond the processing session; Anthropic processes data as a contractually bound Sub-Processor; Diadyn maintains audit logs of API call metadata (not content).

9.6 AI Output Accuracy — Complete Disclaimer

AI Features generate outputs probabilistically and may contain errors, inaccuracies, or hallucinations. Diadyn makes no warranty as to accuracy, completeness, reliability, or fitness for purpose of any AI-generated output. Customer must independently verify all AI outputs before use in business, legal, financial, payroll, employment, or customer-facing contexts.

9.7 AI-Generated Content — Ownership and IP Risk

Customer owns AI-generated outputs produced at its direction. AI outputs may resemble third-party copyrighted material; Diadyn does not warrant freedom from IP claims and does not indemnify Customer against such claims. AI outputs do not constitute professional legal, financial, medical, tax, or regulatory advice.

9.8 Prohibited Use of AI Features

Strictly prohibited, with immediate termination as a consequence: generating harmful or defamatory content; prompt injection or model extraction; processing sensitive data without lawful basis; unreviewed reliance on AI for professional advice; discriminatory automated decisions; weapons or cyberattack facilitation; CSAM (zero tolerance, mandatory reporting); sanctions evasion; undisclosed AI persona in customer-facing contexts; reverse-engineering Diadyn's AI architecture.

9.9 Automated Decision-Making — Human Oversight

AI Features are advisory tools, not autonomous decision-makers. Customers deploying AI Features for employment, financial, or access-to-services decisions without human review act as Data Controller and bear GDPR Article 22 liability. Human review requests may be sent to legal@diadyntechnology.com, responded to within 48 hours.

9.10 AI Liability Allocation

Where Customer has completed the AI Consent Acknowledgement, Diadyn is exonerated from claims arising from Customer's use of AI Features, subject to: (1) Diadyn's liability capped per clause 14.2, not liable for output accuracy, hallucinations, third-party IP, bias, or regulatory penalties from unreviewed use; (2) Diadyn's indemnification obligations are no broader than protections received from Anthropic; (3) Customer bears exclusive responsibility for regulatory enforcement from deployment without oversight, unreviewed published content claims, and prohibited AI use; (4) Diadyn is not liable for output quality changes from Anthropic model updates given 30 days notice.

9.11 Global AI Regulatory Compliance

EU AI Act (Reg. 2024/1689): Customers are Deployers bearing applicable obligations from Aug 2, 2026. GDPR/UK GDPR Article 22: Customers processing EU/UK data act as Data Controllers. US FTC: AI Features must be accurately disclosed. US CCPA/CPRA ADMT: Customer bears disclosure obligations for California consumers. UAE PDPL: Diadyn complies with automated processing obligations. India DPDP Act 2023: Customers act as Data Fiduciaries, Diadyn as Data Processor.

9.12 Anthropic Acceptable Use Policy — Binding on Customer

By completing the AI Consent Acknowledgement, Customer agrees to be bound by Anthropic's Acceptable Use Policy (anthropic.com/legal/aup). Violations result in immediate AI Feature suspension and potential Service termination.

9.13 AI Bias, Fairness, and Transparency

Customers using AI Features affecting protected groups are solely responsible for required bias audits and human oversight. Validated bias reports may be submitted to legal@diadyntechnology.com.

9.14 In-Product AI Disclosure

AI-generated content is labelled 'AI Generated' or 'AI Assisted' at the point of output. Customers deploying AI Features in customer-facing contexts are responsible for notifying their own end-users.

9.15 Material AI System Changes — Advance Notice

Diadyn will provide at least thirty (30) days advance notice of changes to the AI partner relationship or material changes to Anthropic's API terms affecting Customer data protection.

9.16 Complete AI Warranty Disclaimer

To the maximum extent permitted by applicable law, Diadyn makes no warranty regarding AI Features or outputs, including merchantability, fitness for purpose, non-infringement, accuracy, or freedom from hallucinations. Where implied warranties cannot be excluded, any such warranty is limited to ninety (90) days from first use, with maximum liability limited to re-performance or refund of AI Feature fees for that period.

9.17 Customer Indemnity for AI Misuse

Customer shall indemnify Diadyn, its officers, and AI partner Anthropic from claims arising from AI misuse per clause 9.8, failure to conduct required human review, deployment without professional oversight, unreviewed content claims, Anthropic AUP violations, or resulting regulatory enforcement.

10. Branding Services — Terms and Intellectual Property

10.1 Scope

This section governs Diadyn's branding services including logo design, visual identity, website development, and marketing materials.

10.2 IP Ownership — Branding Deliverables

Upon full payment, custom branding deliverables become Customer's exclusive property; pre-existing Diadyn design assets remain Diadyn's property; Diadyn may display anonymised work samples with Customer's prior written consent.

10.3 Brand Guidelines and Trademark Usage

Customer owns all trademarks and brand collateral created under branding engagements. Diadyn's portfolio licence is revocable by Customer in writing at any time.

10.4 Revision Process

Three (3) revision rounds are included. Customer must provide consolidated feedback within fourteen (14) days of each draft delivery.

10.5 Design File Delivery

Final files are delivered in agreed formats. Editable source files are delivered only if explicitly included in project scope.

10.6 Branding Confidentiality

Diadyn keeps all unreleased brand identity work strictly confidential.

10.7 Indemnification for Brand IP

Customer indemnifies Diadyn for claims from Customer-provided content. Diadyn indemnifies Customer for Diadyn's original creative work found to infringe third-party IP.

11. Data Security and Protection

11.1 Encryption

All Customer Data is encrypted in transit using TLS 1.3 (minimum TLS 1.2) and at rest using AES-256.

11.2 Access Controls

Diadyn implements RBAC, mandatory MFA for administrative access, and zero-trust architecture. Access is restricted to authorised staff on a need-to-know basis.

11.3 Security Audits

Diadyn conducts annual third-party penetration testing and quarterly internal security audits.

11.4 Breach Notification

In the event of a confirmed data breach, Diadyn will notify affected Customers within seventy-two (72) hours of becoming aware.

11.5 Vulnerability Disclosure

Security vulnerabilities may be reported to legal@diadyntechnology.com. Diadyn will acknowledge within seventy-two (72) hours.

11A. Technology Infrastructure and Cloud Platform Partners

DIADYN — BUILT ON WORLD-CLASS INFRASTRUCTURE. Diadyn operates its production systems exclusively on Oracle Cloud Infrastructure (OCI), one of the world's four recognised hyperscale cloud platforms alongside AWS, Azure, and GCP.

11A.1 Production Infrastructure — Oracle Cloud Infrastructure

OCI delivers global hyperscale reach across 50+ regions in 28 countries, enterprise-grade compute and storage, industry-leading security architecture, comprehensive compliance certifications (ISO 27001, SOC 1/2/3, GDPR, HIPAA-eligible, FedRAMP), predictable pricing, multi-cloud interoperability, and AI/GPU infrastructure. All Customer Data resides on OCI production infrastructure.

11A.2 Customer Hosting Subscription Services — Hosting Partner Network

Customer-facing hosting subscriptions are delivered through Diadyn's Hosting Partner network: Vultr (32+ global data centres, ISO 27001/SOC 2 certified), Kamatera (global cloud infrastructure, ISO 27001 certified), Worldstream (European specialist, ISO 27001/NEN 7510 certified), and additional partners as needed. All Hosting Partners maintain a Data Processing Addendum consistent with Diadyn's obligations.

11A.3–11A.4 Infrastructure Overview and Data Residency

Production SaaS runs on OCI; AI Features on Anthropic Claude via OCI GPU infrastructure; customer hosting subscriptions on Vultr/Kamatera/Worldstream. Regional data residency is available across the EU (Frankfurt, Amsterdam), UK (London), US (Ashburn, Chicago, Phoenix, San Jose), UAE (Abu Dhabi), India (Mumbai, Hyderabad), APAC (Singapore, Tokyo, Seoul, Sydney), and Canada (Toronto, Montreal).

11A.5–11A.6 Sub-Processor Standards and Change Notification

All Sub-Processors maintain ISO 27001, SOC 2 Type II (where applicable), GDPR SCCs, and AES-256/TLS 1.3 encryption standards. Diadyn will notify Customers at least thirty (30) days before adding or replacing a Sub-Processor materially affecting data handling. Customers may object within fourteen (14) days.

11A.7 Infrastructure Confidentiality

While Diadyn discloses its infrastructure partnerships transparently, the underlying commercial terms, tenancy architecture, and technical configuration remain confidential Diadyn Proprietary Technical Information under Section 13.

12. Export Control and Sanctions Compliance

Customer represents it is not in an embargoed jurisdiction and not named on any sanctions list. The Services may be subject to US EAR, ITAR, and OFAC sanctions programmes, and UAE Federal Decree-Law No. 8 of 2024. Diadyn screens customers against OFAC SDN, EU Consolidated Sanctions, UK HM Treasury, and UAE Local Terrorist lists. Violations result in immediate termination without refund and mandatory regulatory reporting.

13. Confidentiality and Proprietary Technical Information

Each party agrees to hold the other's Confidential Information in strict confidence. Diadyn Proprietary Technical Information — including vendor commercial terms, technology architecture, and AI integration methodology — is protected as trade secrets under UAE Federal Decree-Law No. 36 of 2023. Confidentiality obligations survive termination for five (5) years; trade secret obligations survive indefinitely. Breach entitles either party to seek injunctive relief without the requirement to post bond.

14. Limitation of Liability

Neither party shall be liable for indirect, incidental, special, consequential, punitive, or exemplary damages. Diadyn's total aggregate liability under this Agreement shall not exceed the total fees paid by Customer in the three (3) calendar months immediately preceding the event giving rise to the claim. AI Features liability is capped at the same ceiling. Infrastructure liability is limited to applicable Service Credits under the Server SLA. Exceptions apply to payment obligations, confidentiality breaches, indemnification, death/personal injury from negligence, and fraud or wilful misconduct.

15. Indemnification

Customer indemnifies Diadyn, its officers, AI partner Anthropic, and infrastructure partners from claims arising from Customer's breach, law violations, IP infringement in Customer Data, export control violations, AI misuse, or wilful misconduct. Diadyn indemnifies Customer against verified third-party IP infringement claims regarding the Services as provided, subject to prompt notice and Diadyn's sole control of defence.

16. Termination

Either party may terminate at the end of the Subscription Term with thirty (30) days notice, or immediately for material breach uncured within thirty (30) days, insolvency, or fraud. Diadyn may suspend access for non-payment, security incidents, or policy violations. Upon termination, all licences and AI access terminate immediately, outstanding fees become payable, and Sections 4.3, 4.4, 5, 9.4, 12, 13, 14, 15, and 18 survive.

17. Dispute Resolution

Parties agree to first attempt good-faith negotiation for thirty (30) days, followed by non-binding mediation if unresolved. Remaining disputes are finally resolved by binding arbitration under the Sharjah International Commercial Arbitration Centre (SHICAC), seated in Sharjah, UAE, in English. This Agreement is governed by UAE and Sharjah law. Customer agrees to bring claims only individually, not as part of a class action. Either party may seek urgent injunctive relief from any competent court.

18. Modifications, General Provisions, and Notices

Diadyn may modify this Agreement with thirty (30) days advance notice. This Agreement constitutes the entire agreement between the parties. If any provision is invalid, remaining provisions continue in force. Customer may not assign this Agreement without Diadyn's consent. This Agreement is in English; the English version prevails in case of translation conflict. The parties are independent contractors. Electronic acceptance is fully binding. All formal legal notices must be sent to legal@diadyntechnology.com or Customer's registered account email.

19. Diadyn Connect — Public Profile and Visitor Terms

Where a Connect Profile is public, published information may be viewed by any individual with the profile link or QR code. Diadyn Connect may collect limited technical data from Connect Visitors (view timestamps, approximate region, device type, scan events) for operating the service. The prohibitions on sale and AI-training use of data (clauses 4.3, 9.4) apply equally to Connect Visitor data. Any individual may submit a removal or correction request to legal@diadyntechnology.com; Diadyn will acknowledge without undue delay, contact the relevant Customer for clarification, and remove or restrict disputed content where verified. Diadyn Connect subscriptions follow the payment, suspension, and termination provisions of Sections 7 and 16. Liability for Diadyn Connect is subject to the Section 14 cap; Customer indemnifies Diadyn per Section 15 for claims arising from published content.

20. Cloudapps.diadyntechnology.com — Application Delivery Platform

Diadyn delivers subscribed 360 Business Applications and related products to Customers via cloudapps.diadyntechnology.com ("Cloudapps"), including account licensing, application access, and the customer administration areas made available at cloudapps.diadyntechnology.com/admin/secure/*. Cloudapps forms part of the "Services" as defined in Section 1, and Customer's use of Cloudapps is governed by this Agreement in full, including the data protection, security, and liability provisions herein. Diadyn's obligations regarding uptime, data security, and Sub-Processor standards under Sections 8, 11, and 11A apply equally to Cloudapps. Customer Data processed via Cloudapps remains subject to the ownership, licensing, and deletion terms of Section 4.

21. Bizcards360 — Digital Business Card Platform

Bizcards360, accessible at https://bizcards360.com, is a digital business card and professional networking product owned and operated by Diadyn Technology LLC. Where a Customer subscribes to Bizcards360, whether as a standalone product or bundled with other Diadyn Services, that subscription is governed by this Agreement in full, applied to Bizcards360 on equivalent terms to those set out for Diadyn Connect in Sections 2.7, 3.5, 6.7, and 19, including the prohibitions on sale or AI-training use of visitor data, the public-profile acceptable use standards, and the removal-request mechanism for individuals who believe their information has been published without consent. Diadyn's liability in respect of Bizcards360 is subject to the aggregate cap in Section 14, and Customer indemnifies Diadyn per Section 15 for claims arising from Customer-published content on Bizcards360.
