Server SLA Agreement

Diadyn Technology LLC | Version 1.0 | Effective: July 20, 2026

This Server SLA Agreement ("SLA") is incorporated into and forms part of the Diadyn Service Agreement between Customer and Diadyn Technology LLC ("Diadyn"). It sets out Diadyn's uptime commitment and remedies for the infrastructure underlying the Services.

1. Infrastructure Covered

This SLA applies to: (a) Diadyn's production 360 Business Application Suite, hosted on Oracle Cloud Infrastructure (OCI), Diadyn's primary hyperscale production platform; and (b) customer-facing hosting subscription services (VPS, cloud hosting, dedicated servers) delivered through Diadyn's Hosting Partner network, principally Vultr, together with Kamatera and Worldstream, as described in the Service Agreement, Section 11A.

2. Uptime Commitment

Diadyn targets 99.9% monthly uptime for production 360 Business Applications hosted on Oracle Cloud Infrastructure, and for hosting subscription services delivered via Diadyn's Hosting Partner network. Uptime is measured on a calendar-month basis and excludes Scheduled Maintenance (Section 4) and Force Majeure events as defined in the Service Agreement, clause 8.3.

3. Service Credits

Service Credits are applied to Customer's subsequent invoice and are Customer's sole and exclusive remedy for failure to meet the uptime commitment, subject to the aggregate liability cap in Service Agreement clause 14.2. Credit requests must be submitted to legal@diadyntechnology.com within thirty (30) days of the incident.

4. Scheduled Maintenance

Diadyn will schedule maintenance during off-peak hours with at least forty-eight (48) hours advance notice where practicable, per Service Agreement clause 8.2. Scheduled Maintenance is excluded from uptime calculations.

5. Exclusions

This SLA does not apply to unavailability caused by: Force Majeure events (Service Agreement clause 8.3); Customer's own equipment, network, or software; Customer's breach of the Acceptable Use Policy; or factors outside Diadyn's reasonable control, including Sub-Processor incidents beyond Diadyn's direct infrastructure.

6. Relationship to the Service Agreement

This SLA is one of the Incorporated Documents referenced in the Diadyn Service Agreement. In the event of any conflict between this SLA and the Service Agreement, the Service Agreement prevails.

7. Underlying Hosting Partner Terms

Where Customer's hosting subscription is fulfilled through a Hosting Partner as described in Section 1, Customer's use of that underlying infrastructure is additionally subject to the relevant provider's own published terms of service and service level agreement, which Customer is bound by in addition to, and independently of, this SLA and the Diadyn Service Agreement. Diadyn does not control, and is not responsible for, the content or future changes of any third-party terms referenced above. Customer is encouraged to review the applicable provider's current terms directly at the source. Where those third-party terms are unavailable or have changed since this SLA was last updated, the version published on the relevant provider's own website at the time of Customer's use shall govern.

Diadyn may in future engage additional infrastructure providers, including major hyperscale platforms such as Amazon Web Services (AWS), Microsoft Azure, or Google Cloud Platform (GCP), to extend geographic coverage or service capability. Any such addition will be treated as a Sub-Processor change under Service Agreement clause 11A.6, with thirty (30) days advance notice to Customer, and this table will be updated accordingly once any such provider relationship is active.
